Job Description
The Chief Accounting Officer ("CAO") and Controller will oversee all areas of Corporate Accounting, Reporting and M&A; Integration services. You will manage traditional accounting functions which may include general ledger, accounts payable, accounts receivable, fixed assets, and inter-company transactions and ensure the accurate compilation, analysis, and reporting of accounting data in line with Company timelines.  Activities will include global accounting close and consolidations, international financial accounting and reporting, technical accounting activities, management of external audits, internal controls oversight, operational accounting and financial systems. The CAO will also be involved with the development of policies, procedures, financial software infrastructure and M&A; Integration. The CAO will drive the development and deployment of rigorous and standardized processes (financial systems, internal controls and operational and financial reporting) to accelerate and enhance the quality of financial information used by key stakeholders for strategic decision making.  He or she will also manage the integration of acquired companies into the Trilogy Group companies & systems including the migration of general ledger and sub-ledger balances, the management of acquired finance personnel and the simplification and consolidation of all residual legal entities.

The role requires a background in accounting & controlling as well as a thorough understanding of US GAAP.  

Key Responsibilities:
Understand all relevant internal and external constituencies and stakeholders; gain a deep understanding of the organization, legal & tax structure as well as financial and other systems.
Lead the monthly, quarterly and annual close and consolidation processes
Manage external audits and quarterly reviews, and interface with external auditors and other consultants.
The CAO in consultation with the CFO are the final authorities on all accounting and reporting decisions for the global company
Drive process improvement and standardization to achieve double-digit returns on invested capital.
Drive enhanced communication with key stakeholders to execute high-quality, informative and timely financial reporting.
Ensure standardization/consistency of accounting policies and worldwide compliance with U.S. GAAP and International Financial Reporting Standards ("IFRS"). Provide technical guidance to the global organization.
Continue to evaluate, mentor and develop the organizational talent to ensure best-in-class accounting and operational support.

General Accounting & Corporate Planning
Prepare/review technical papers on accounting and reporting issues
Work closely with FP&A; and the Global Tax and Treasury Departments to deliver operational and technical accounting and reporting assistance.

M&A; Responsibilities
In addition to this more traditional role, as a member of the M&A; team, you will act as a liaison between Trilogy Group and acquired entity finance personnel to ensure
Financial reporting timelines & information is met
Financial reporting for legal combinations are met
Financial information for integration are provided
Financial reporting for simplification purposes are met
An understanding / alignment of accounting policies is achieved
Communication between acquired company finance teams and Trilogy Group accounting & sub-ledger integration teams is achieved

You will also
Design and implement policies to transition a new acquisition to common systems and processes
Leading a finance team to manage the transition
Lead efforts to simplify accounting practices at each acquisition
Work with outside firms to complete Purchase Valuations
All related accounting entries are booked
Reconciliations for goodwill and purchase accounting are done

Finally, in addition to management of people, process & data, you will from time to time need to participate in developing strategies to integrate non-standard companies into Trilogy Group.  This may include the development of new processes and/or the management of additional staff.  As well as trouble-shooting issues that arise as a result of Trilogy’s M&A; activity.  

Team Leadership & Management

Manage and cultivate multiple direct and dual reporting relationships.
Develop, establish and maintain an effective organizational structure and staffing plan to meet internal customer needs and Company goals.
Manage a global staff of 5-10
Evaluate all staff positions, responsibilities and individuals for appropriate performance, skills and potential for improvement
Experience working in a Financial Audit firm, a Big Four company is strongly preferred. Experience leading offshore teams


Required Skills and Experience
10+ years working in Finance
Experience w/ US GAAP rules as they apply to Software companies including VSOE, Purchase Accounting, FIN 46, FIN 48, SOP 81-1 etc.
5+ years experience working with Big Four (PWC, Deloitte, E&Y;, KPMG)  firms to complete Purchase Valuations and US GAAP Audits
Exposure to IFRS
CPA

Total compensation is up to $175,000/year for a full time 40 hours/week.
